1. Definitions

• Provider: Naexit.
• Client: The entity ordering services.
• Deliverables: Work product we deliver to you (e.g., website, designs, code, documentation, SEO reports).
• Background IP: Pre-existing materials owned by either party before the project (frameworks, libraries, templates, processes, tools, know-how).
• Third-Party Materials: Assets owned by third parties (fonts, plugins, stock photos, APIs, SaaS tools).

2. Ownership

Background IP. Each party retains ownership of its Background IP.

Provider materials. Unless otherwise agreed in writing, we own our methods, processes, templates, code libraries, internal tools, and know-how. We also own SEO strategies, analyses, audits, and reports (see Section 5).

Client materials. You retain ownership of materials you provide (logos, trademarks, text, images), subject to third-party rights.

3. License to the Client (Deliverables)

Upon full payment of all due fees, we grant the Client a non-exclusive, worldwide license to use the Deliverables for the purposes agreed in the SOW/quote.

• You may operate, display, and modify the Deliverables for your own business.
• You may transfer the Deliverables to an entity acquiring your business/website, provided such transfer does not expand third-party licenses.

4. Restrictions

You may not:

• Resell our Deliverables as a standalone product/template to third parties (white-label resale) unless agreed.
• Remove or alter proprietary notices included in the Deliverables.
• Use Deliverables in a way that violates law or third-party rights.

5. SEO strategies, analyses, and reports

SEO strategies, analyses, and reports created by the Provider remain the Provider’s intellectual property. The Client receives a non-exclusive, transferable license to use these materials for the Client’s own business operations.

6. Portfolio and marketing rights (“Powered by”)

The Provider may:

• Display completed work in portfolios, case studies, presentations, and marketing.
• Include an attribution such as “Powered by Naexit” with a link where appropriate.

Attribution placement will be non-intrusive relative to the overall design. Removal requires the Provider’s prior written consent.

7. Third-party materials (plugins, fonts, APIs, stock)

Third-Party Materials are licensed—not sold—to you under the third party’s terms.

• If we procure licenses on your behalf, you receive the benefit of that license to the extent permitted.
• You are responsible for ongoing third-party subscription fees and compliance with third-party terms unless otherwise agreed.

8. Images and media (“the picture”)

• Images we create: Original images/graphics we create for you are included in the Deliverables and licensed under Section 3.
• Stock images / licensed photos: If Deliverables include stock photos or other licensed imagery, your use is limited by the applicable provider license. We will identify such assets upon request.
• Client-supplied images: If you provide images (photos, logos, brand assets), you warrant that you have the rights to use them and to permit us to use them for the project.
• Website content protection: Unless explicitly stated otherwise, all images, graphics, and media displayed on https://naexit.com are owned by Naexit or its licensors and may not be copied, reused, or redistributed without prior written permission.

9. Open-source software

Deliverables may include open-source components. Such components are subject to their respective open-source licenses, which prevail over these Licensing terms for those components.

10. Term

The licenses granted continue for as long as you comply with these terms and pay applicable fees.

11. Infringement

If a Deliverable created by us infringes a third party’s IP right, we may (at our choice) modify it to be non-infringing, replace it with a functional equivalent, or terminate the license and refund the portion of fees paid for the infringing part.

12. Governing law

These Licensing terms are governed by Swedish law.

1. Definitioner

• Leverantör: Naexit.
• Kund: Den som beställer tjänster.
• Leverabler: Resultat som levereras (t.ex. webbplats, design, kod, dokumentation, SEO-rapporter).
• Bakgrunds-IP: Förhandsmaterial som ägs av respektive part före projektet (ramverk, bibliotek, mallar, processer, verktyg, know-how).
• Tredjepartsmaterial: Tillgångar som ägs av tredje part (typsnitt, plugins, stock-bilder, API:er, SaaS-tjänster).

2. Äganderätt

Bakgrunds-IP. Varje part behåller äganderätten till sin Bakgrunds-IP.

Leverantörens material. Om inget annat avtalats skriftligen äger vi våra metoder, processer, mallar, kodbibliotek, interna verktyg och know-how. Vi äger även SEO-strategier, analyser, revisioner och rapporter (se avsnitt 5).

Kundens material. Du behåller äganderätten till material du tillhandahåller (logotyper, varumärken, texter, bilder), med förbehåll för tredjepartsrättigheter.

3. Licens till Kunden (Leverabler)

När full betalning erlagts beviljar vi Kunden en icke-exklusiv, världsomfattande licens att använda Leverablerna för de ändamål som avtalats i SOW/offert.

• Du får driva, visa och ändra Leverablerna för din egen verksamhet.
• Du får överlåta Leverablerna till den som förvärvar din verksamhet/webbplats, förutsatt att överlåtelsen inte utökar tredjepartslicenser.

4. Begränsningar

Du får inte:

• Sälja vidare Leverablerna som fristående produkt/mall till tredje part (white-label) utan avtal.
• Ta bort eller ändra rättighetsnotiser i Leverablerna.
• Använda Leverablerna i strid med lag eller tredjepartsrättigheter.

5. SEO-strategier, analyser och rapporter

SEO-strategier, analyser och rapporter som skapas av Leverantören tillhör Leverantören. Kunden erhåller en icke-exklusiv, överlåtbar licens att använda materialet för Kundens egen verksamhet.

6. Portfölj- och marknadsföringsrättigheter (”Powered by”)

Leverantören får:

• Visa upp slutfört arbete i portfölj, fallstudier, presentationer och marknadsföring.
• Inkludera tillskrivning såsom ”Powered by Naexit” med länk där det är lämpligt.

Placeringen ska vara icke-påträngande i förhållande till den övergripande designen. Borttagning kräver Leverantörens skriftliga medgivande.

7. Tredjepartsmaterial (plugins, typsnitt, API:er, stock)

Tredjepartsmaterial licensieras—säljs inte—till dig enligt tredjepartens villkor.

• Om vi anskaffar licenser åt dig får du nyttja licensen i den utsträckning det är tillåtet.
• Du ansvarar för löpande abonnemangsavgifter och efterlevnad av tredjepartsvillkor om inget annat avtalats.

8. Bilder och media (”bilden”)

• Bilder vi skapar: Originalbilder/graphic assets som vi skapar åt dig ingår i Leverablerna och licensieras enligt avsnitt 3.
• Stock-bilder / licensierade foton: Om Leverablerna innehåller stock-bilder eller annan licensierad bildrätt gäller respektive licensvillkor. Vi kan specificera vilka tillgångar som omfattas på begäran.
• Kundens bilder: Om du tillhandahåller bilder (foton, logotyper, varumärkesmaterial) intygar du att du har rätt att använda dem och att ge oss rätt att använda dem i projektet.
• Skydd av webbplatsinnehåll: Om inget annat uttryckligen anges ägs alla bilder, grafiska element och media som visas på https://naexit.com av Naexit eller dess licensgivare och får inte kopieras, återanvändas eller spridas utan skriftligt tillstånd.

9. Open source

Leverablerna kan innehålla open source-komponenter. Sådana komponenter omfattas av sina respektive open source-licenser, vilka har företräde framför dessa licensvillkor för just dessa delar.

10. Giltighetstid

Licenserna gäller så länge du följer villkoren och betalar eventuella avgifter.

11. Intrång

Om en Leverabel som vi skapat gör intrång i tredje parts immateriella rättighet kan vi (efter eget val) ändra den så att den inte längre gör intrång, ersätta den med funktionellt likvärdig del, eller avsluta licensen och återbetala den del av arvodet som avser den intrångsgörande delen.

12. Tillämplig lag

Dessa licensvillkor regleras av svensk rätt.
